The School Suite: Subscription Terms and Conditions

Welcome to The School Suite from Best Practice Network. Please take the time to read and understand these Subscription terms and conditions (Subscription Terms). They govern your use of The School Suite as a member.

Once you click “Apply” to join The School Suite and complete the online payment, you agree to the Subscription Terms as a legally binding contract between you and Best Practice Network Ltd. If you do not want to agree to these Subscription Terms, we are sorry but this agreement will have to end here!

In these Subscription Terms, Content means all the content available on The School Suite including, but not limited to, courses, videos, case studies, sample files and user forum content: Subscriber, You, Your or Yours refers to the purchaser of the service; We, us, our(s) refers to Best Practice Network Ltd.

  1. Subscription Agreement
    1. You understand and agree that you have committed to a twelve month renewable subscription agreement and you agree to pay the subscription fees at the rate offered for access to The School Suite for a period of twelve months.
    2. Subscription is annual and is valid for twelve consecutive months from the day that the payment of the annual fee. The subscription will renew automatically for a further twelve month period provided the original credit or debit card used to make payment remains valid, unless and until terminated in accordance with these Subscription Terms.
    3.  Renewal will be at the rate applicable at the time, which may be different to the rate at which you originally subscribed to The School Suite.
    4. You must pay the subscription by credit or debit card, no other payment option is available.
    5. If you fail to pay this fee, we will suspend your access to this service until payment is received.

  2. Cancellation of Subscription Agreement
    1. You are able to cancel your subscription in the first 30 days for a full refund. Please email enquiries@bestpracticenetwork.co.uk to cancel.
    2. You understand that should you try to cancel your subscription outside of the first 30 days, no refund will be provided.

  3. Your Subscription
    1. Your Subscription is non-transferable. You must not share your username and password with anyone else or allow anyone else to access The School Suite using your username and password.
    2. You are responsible for every use of The School Suite that occurs in conjunction with the use of your username and password. You must use reasonable efforts to keep your username and password confidential. You must notify us as soon as you become aware of any unauthorised use of your subscription, username or password.
    3. Your subscription is based on a twelve month subscription fee which is detailed on the Site’s sign up page. Your subscription, or access to Content and areas of The School Suite, will be suspended or cancelled if payment is not successfully processed upon application.
    4. You can ask for a refund of subscription fees under our “Moneyback Guarantee” policy, during the first 30 days of your subscription. You may also have rights granted to you by law which may entitle you to a refund of fees in specific circumstances. Apart from those things, refunds of subscription fees will not be made.

  4. Availability and Use of The School Suite
    1. The School Suite will usually be available 24 hours a day, seven days a week. We reserve the right, however, to interrupt or suspend your access to The School Suite or the provision of The School Suite services and Content, for maintenance, technical or other reasons.
    2. When accessing and using The School Suite and its services and content, you must comply with directions, instructions or protocols posted on The School Suite.
    3. We are pleased to be able to offer a wide range of exclusive Content on The School Suite for your educational and learning needs. The Content will be updated, changed or removed from time to time, at our discretion, so we can’t guarantee that specific Content will always be available on The School Suite.

  5. Rights to Content; intellectual property
    1. Each item of Content is copyright of its author. We own any The School Suite -contributed Content, and all other rights in The School Suite including its design, compilation and look and feel.
    2. Your Subscription gives you a right (a revocable, non-exclusive licence) to use the Content for personal purposes. You must not redistribute Content (such as courses, videos, podcasts and source files). Any project files, PowerPoints or other assets associated with Content are included to demonstrate the course or tutorial. You may use, modify and manipulate files for your own personal educational purposes, but you must not otherwise exploit the files and the assets in them, or redistribute the files or assets.
    3. You may freely use the procedures and techniques demonstrated in the Content (that is, the knowledge you gain) for any educational or personal purpose.
    4. The trademarks and logos displayed on The School Suite are unless otherwise stated, those of Best Practice Network and you must not use these without approval.

  6. Fair use and prohibited conduct
    1. You are permitted to download Content to your computer as part of your Subscription. Your use of the Site and the Content must be fair, genuine and reasonable. For example, the total amount of Content you download must be reasonable in light of your genuine education and learning needs, and the time needed to genuinely engage with the Content. We will use our reasonable discretion to decide whether a member has complied with the ‘fair use’ policy.
    2. You must not mass download Content.
    3. You also must not:
      1. use a false email address, impersonate others, or misrepresent your affiliation with others;
      2. insert advertising, branding or other promotional content into The School Suite or Content;
      3. attempt to gain unauthorised access to computer systems or materials through The School Suite;
      4. engage in the automatic gathering of information from or through The School Suite (such as “spidering”, “screen scraping”, “database scraping” or harvesting of e-mail addresses);
      5. attempt to interrupt or alter The School Suite operation in any way (for example through sending mass unsolicited messages, “flooding” servers, or introducing a virus, time bomb, trojan horse, worm, cancelbot or other computer routine);
      6. use The School Suite or the Content in a way that violates applicable law, that violates third party intellectual property or other rights, or that is, fraudulent, obscene, offensive, or defamatory; or
      7. except as allowed in these Subscription Terms, copy, distribute, transmit, modify or otherwise exploit the Content or any other data or code made available through The School Suite.

  7. Intellectual property complaints
    1. We respect the intellectual property rights of others and require that you do the same.
    2. Please contact us if you believe that your intellectual property or other rights are being affected by anything on The School Suite.
    3. If you are specifically making a copyright-based claim regarding Content, please forward the following information to us:3.1 your address, telephone number, and email address;
      1. a description of the location of the alleged infringing material;
      2. a description of the copyrighted work that has been allegedly infringed; and
      3. a statement by you that you warrant that the information given in your claim is accurate and that you are either the copyright owner or are authorised to act on the copyright owner’s behalf.

  8. Forum and community rules
    1. We reserve the right but are not obliged, to monitor all material posted to The School Suite. We are not responsible or liable for material posted by others. We do, however, reserve the right to edit, refuse to post or to remove matter that in our discretion is objectionable or in violation of these Subscription Terms, our policies or applicable law.
    2. You must not upload or post any materials that:
      1. restrict or inhibit others’ use or enjoyment of The School Suite;
      2. are false, misleading, fraudulent, unlawful, abusive, harassing, defamatory, obscene, vulgar, or offensive;
      3. infringe others’ rights, including privacy or intellectual property rights;
      4. disclose personal information about others, particularly sensitive information;
      5. contain a virus, spyware, or other harmful components; or
      6. contain commercial solicitation or ‘spam’ of any kind.

  9. Privacy
    1. Our information collection and use of any personal information about you is set out in our Privacy Notice.
    2. Personal information that you disclose may be used by Best Practice Network, its agents and contractors in relation to your subscription and The School Suite, including marketing activities for The School Suite.
    3. We may disclose any personal information as necessary to satisfy any law, regulation or government request.

  10. Refusal, suspension or termination of Subscription.
    1. We may, in our discretion, immediately restrict, suspend or terminate your Subscription and access to The School Suite if we consider you in breach of these Terms, any other rules, or applicable law.
    2. We reserve the right to refuse Subscriptions in our discretion (examples include previous breaches of Subscription terms on any of our websites and previous utilisation of The School Suite “Moneyback Guarantee”).

  11. Liability and disclaimer
    1. Except as provided in an applicable Non-excludable Law, we are bound only by the express promises made in these Subscription Terms and are not bound by implied terms.
    2. Except as provided in an applicable Non-excludable Law;
      1. we do not promise that the Content or your access to The School Suite will be uninterrupted or error-free, that any defects will be corrected, or that The School Suite or Content is free of viruses or any other harmful components;
      2. we make no promises regarding your access to, or the results of your access to, The School Suite or Content in terms of correctness, accuracy, timeliness, completeness, reliability or otherwise.
    3. Except as provided in an applicable Non-excludable Law, we and our affiliates are not liable for indirect, incidental, special or consequential damages, loss of revenue or loss of profits which result from any use of or access to, or any inability to use or access, The School Suite.

  12. Changes to Subscription Terms
    1. We may change these Subscription Terms from time to time, but we will notify you before doing so. You will be given the opportunity to cancel your subscription with a pro-rata refund (based on the time remaining in your subscription) if you do not want to accept the changes. If you do not opt-out in this way, your continued subscription to and use of The School Suite will be an acceptance of the updated Subscription Terms.

  13. Disclaimer
    1. While we endeavour to ensure that the information on this Website is correct, we do not warrant the accuracy and completeness of the material. We may make changes to the material on this Website, or to the products and prices described in it, at any time without notice. The material on this Website may be out of date, and we make no commitment to update such material.
    2. The material on this Website is provided "as is" without any conditions, warranties or other terms of any kind. Accordingly, to the maximum extent permitted by law, we provide you with this Website on the basis that we exclude all representations, warranties, conditions and other terms (including, without limitation, the conditions implied by law of satisfactory quality, fitness for purpose and the use of reasonable care and skill) which but for these terms and conditions might have effect in relation to this Website.

  14. Governing laws and Jurisdiction
    1. These terms and conditions shall be governed by and construed in accordance with English law. Disputes arising in connection with these terms and conditions shall be subject to the exclusive jurisdiction of the English courts. We do not warrant that materials/items for sale on the Website are appropriate or available for use outside the United Kingdom. If you access these Websites from locations outside the United Kingdom, you do so at your own risk and you are responsible for compliance with local laws.
